Item 8.01 Other Events.

On June 17, 2025, the Board of Directors of Korn Ferry (the “Company”) (the “Board”) declared a cash dividend of $0.48 per share that will be paid on July 31, 2025 to holders of the Company’s common stock of record at the close of business on July 3, 2025. A copy of the press release announcing such action is attached hereto as Exhibit 99.1.

The declaration and payment of future dividends under the quarterly dividend policy will be at the discretion of the Board and will depend upon many factors, including the Company’s earnings, capital requirements, financial conditions, the terms of the Company’s indebtedness and other factors that the Board may deem to be relevant. The Company may amend, revoke or suspend the dividend policy at any time and for any reason at its discretion.

Korn Ferry Board Declared Quarterly Cash Dividend

LOS ANGELES, June 17, 2025 – Korn Ferry (NYSE:KFY), a global consulting firm, today announced its Board of Directors has declared a cash dividend of $0.48 per share that will be payable on July 31, 2025 to shareholders of record on July 3, 2025.
