Item 3.01 - Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing

On April 3, 2023, the Company received a notice from the New York Stock Exchange (the “NYSE”) indicating that the Company is not in compliance with the NYSE’s continued listing requirements under the timely filing criteria outlined in Section 802.01E of the NYSE Listed Company Manual as a result of the Company’s failure to timely file its Annual Report on Form 10-K for the fiscal year ended December 31, 2022 (the “2022 Form 10-K”) with the Securities and Exchange Commission (the “SEC”). The NYSE informed the Company that, under the NYSE’s rules, the Company will have six months from the due date for the 2022 Form 10-K to file the 2022 Form 10-K with the SEC and will continue to list the Company’s shares on the NYSE provided that the Company regains compliance within such six-month period.

As required by the NYSE, on March 31, 2023, the Company issued a press release regarding the matters described in this Item 3.01. A copy of the press release was included as Exhibit 99.1 to the Company’s Current Report on Form 8-K filed on April 3, 2023.

On April 7, 2022, the Company filed with the SEC the 2022 Form 10-K.
