Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements ofCertain Officers.

On January 19, 2023, the Compensation Committee of our Board of Directors approved the payment of annual discretionary bonuses to Steven N. Bronson, our Chief Executive Officer, and Ryan J. Hoffman, our Chief Financial Officer, in the amounts of $50,000 and $20,000, respectively, for their performance during the fiscal year ended December 31, 2022.
