Resignation of Director

Effective August 15, 2025, Ms. Cynthia Vuong, a member of the Board of Directors (the “Board”) and a member of the Audit Committee, the Compensation Committee and the Nominating and Corporate Governance Committee of the Board, resigned from the Board. Ms. Voung’s resignation is not due to any disagreement with the Company on any matter relating to its operations, policies or practices.
