Main Street Announces Issuance of an Additional
$50.0 Million of Investment Grade Notes
HOUSTON, February 2, 2023 – Main Street Capital Corporation (NYSE: MAIN) (“Main Street”) is pleased to announce the closing of the issuance of an additional $50.0 million in aggregate principal amount of investment grade notes (the “Notes”). The Notes are being issued pursuant to a supplement to the Note Purchase Agreement dated December 23, 2022 between Main Street and the purchasers party thereto. The Notes are unsecured and bear interest at a fixed rate of 7.53% per year, payable semiannually, mature on December 23, 2025 and may be redeemed in whole or in part at any time or from time to time at Main Street’s option at par plus accrued interest to the prepayment date and, if applicable, a make-whole premium.
Main Street intends to use the net proceeds from this issuance to initially repay a portion of the outstanding debt borrowed under its revolving credit facility and then, through re-borrowing under its revolving credit facility, to fund investments in accordance with its investment objective and strategies, to pay operating expenses and other cash obligations and for general corporate purposes.
The Notes have not been and will not be registered under the Securities Act of 1933, as amended (the “Securities Act”), or any state securities laws and may not be offered or sold in the United States absent registration or an applicable exemption from the registration requirements of the Securities Act and applicable state laws. This news release shall not constitute an offer to sell or a solicitation of an offer to purchase the Notes or any other securities and shall not constitute an offer, solicitation or sale in any state or jurisdiction in which such an offer, solicitation or sale would be unlawful.
