This filing amends Item 5.02 of the Current Report on Form 8-K of Moderna, Inc. (the “Company”) filed on June 4, 2020 to add the information described herein.

Item 5.02 – Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

In connection with the appointment of David W. Meline as Chief Financial Officer of the Company, effective June 8, 2020, Mr. Meline was designated as the Company’s principal financial officer and principal accounting officer, succeeding Lorence Kim and Jennifer Lee, respectively.
