Item5.07 Submission of Matters to a Vote of Security Holders.

On February 3, 2026, Onconetic, Inc. (the “Company”) held a special meeting of stockholders (the “Special Meeting”). The matters voted on at the Special Meeting were:

(1) the approval of an amendment to the Company’s Amended and Restated Certificate of Incorporation<br>to effect a reverse stock split of all of the outstanding shares of the Company’s common stock, par value $0.00001 per share (“CommonStock”), at a ratio in the range of 1-for-2 to 1-for-50, at any time prior to the one-year anniversary date of the special meeting,<br>with such ratio to be determined by the Board of Directors without further approval or authorization of our stockholders (the “ReverseStock Split Proposal”)
(2) the approval the adjournment of the Special Meeting, if necessary or appropriate, to solicit additional<br>proxies if there are insufficient votes at the time of the Special Meeting to approve the Reverse Stock Split Proposal. (the “AdjournmentProposal”)

At the Special Meeting, all of the matters voted on were approved, based upon an aggregate of 1,555,015 shares of Common Stock outstanding as of December 12, 2025, the record date for the Special Meeting. The final voting results were as follows:
