Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On April 28, 2025, Pia Heidenmark Cook notified the Board of Directors (the “Board”) of Origin Materials, Inc. (the “Company”) that she has decided not to stand for reelection as a director of the Company at the Annual Meeting of Stockholders to be held on May 6, 2025 (the “Annual Meeting”). Ms. Cook will serve out the remainder of her term until the Annual Meeting. Ms. Cook’s decision was not the result of any disagreement with the Company, its management, or other members of the Board.

In connection with Ms. Cook's departure, the Board intends to reduce its size from eight to seven directors effective as of the date of the Annual Meeting.
