Item 5.08 Shareholder Director Nominations

On November 3, 2020, Organogenesis Holdings Inc. (the “Company”) announced that it has scheduled its Annual Meeting of Stockholders (the “Annual Meeting”) to be held virtually on December 18, 2020.

In order for a stockholder nomination or proposal (including proposals made pursuant to Rule 14a-18 under the Securities Exchange Act of 1934, as amended) to be considered for inclusion in the Company’s proxy statement for the Annual Meeting, the stockholder must deliver a notice of such nomination or proposal to the Company’s Secretary on or before 5:00 p.m., Eastern time on Friday, November 13, 2020, and comply with the requirements of the Company’s Bylaws. Notices should be directed to our Secretary at Organogenesis Holdings Inc., 85 Dan Road, Canton, Massachusetts 02021, and should comply with the requirements of Rule 14a-8 under the Securities Exchange Act of 1934, as amended (including the rules and regulations thereunder).
