On December 11, 2025, the Board of Directors (the “Board”) of Oriental Rise Holdings Limited (the “Company”), acting pursuant to authority previously granted by the shareholders of the Company at an extraordinary general meeting of shareholders held September 21, 2025, approved a reverse split of the Company’s ordinary shares at a ratio of one (1) ordinary share for every twenty (20) ordinary shares held. Fractional shares resulting from the split will be rounded up to the next whole share.

The anticipated market effective date of the reverse split is December 30, 2025.
