ITEM 8.01 OTHER EVENTS

On July 27, 2021, Pacific Oak Strategic Opportunity REIT, Inc. (the “Company”), through an indirect wholly owned subsidiary, sold an office building containing 435,177 rentable square feet located on approximately 4.92 acres of land in Orange, California (“City Tower”) to a purchaser unaffiliated with the Company or Pacific Oak Capital Advisors, LLC, the Company’s external advisor, for $150.5 million, before closing costs and credits. The Company repaid $98.1 million of the outstanding principal balance due under the mortgage loan secured by the property.
