ITEM 5.02 DEPARTURE OF DIRECTORS OR CERTAIN OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF CERTAIN OFFICERS; COMPENSATORY ARRANGEMENTS OF CERTAIN OFFICERS

On August 31, 2021, Eric J. Smith notified the board of directors (the “Board”) of Pacific Oak Strategic Opportunity REIT, Inc. (the “Company”) of his decision to resign from the Board and all committees thereof (specifically, the Audit Committee and the Conflicts Committee), effective September 1, 2021. Mr. Smith’s decision to resign did not involve any disagreement with the Company. A copy of the letter of resignation submitted by Mr. Smith is attached hereto as Exhibit 99.1 and incorporated by reference.
