Item 5.07 Submission of Matters to a Vote of Security Holders.

On December 1, 2023, we held our annual meeting of stockholders. Proxies were solicited pursuant to our definitive proxy statement filed on October 20, 2023 with the Securities and Exchange Commission under Section 14(a) of the Securities Exchange Act of 1934. At the annual meeting, stockholders considered and voted on the following proposals, each of which is described in more detail in the proxy statement.

Proposal 1 – Election of Directors

Peter H. Woodward, Andrew J. Miclot, Richard B. Miles, Peter V. Anania, and Joseph N. Forkey were each duly elected as our directors. The results of the elections were as follows:

Our stockholders voted upon and approved, on an advisory basis, the compensation paid to our Named Executive Officers (as that term is defined in our 2023 Proxy Statement) for the fiscal year ended June 30, 2023. The votes on this proposal were as follows:
