Section 2 – Financial Information

Item 2.01.Completion of Acquisition or Disposition of Assets.

On January 15, 2021, PTC Inc. completed its acquisition of Arena Holdings, Inc. (“Arena”) pursuant to the Agreement and Plan of Merger dated as of December 12, 2020 by and among PTC, Arena, Astronauts Merger Sub, Inc., and the Representative named therein, the terms of which are described in the Form 8-K filed by PTC on December 14, 2020 and which is filed as Exhibit 1.1 to that Form 8-K and incorporated by reference herein.  PTC paid approximately $715 million, net of cash acquired, for Arena, which amount PTC borrowed under its existing credit facility.

The information disclosed in Item 2.01 above is incorporated herein by reference, as is the description of the terms of PTC’s credit facility contained in PTC’s Form 8-K filed on February 13, 2020.
