ITEM 5.02 DEPARTURE OF DIRECTORS OR CERTAIN OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF CERTAIN OFFICERS; COMPENSATORY ARRANGEMENTS OF CERTAIN OFFICERS.

On June 20, 2023, Jason Field, RGC Resources, Inc.’s (the “Company”) Vice President, Chief Financial Officer and Treasurer, notified the Company of his voluntary resignation, effective August 4, 2023.   Mr. Field will be accepting the position of Vice President at Parkway LTC Consulting, a Roanoke, Virginia based healthcare consulting firm specializing in long-term care and senior living services.  Prior to joining the Company in January 2022, Mr. Field spent over 25 years in the healthcare and long-term care industry where he held various finance and accounting positions.

Mr. Field’s resignation is not the result of any dispute or disagreement with the Company on any matter relating to the Company’s policies and procedures or operations.

The Company has initiated a search process for a Chief Financial Officer and Treasurer.
