Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On November 6, 2024, Mark Riegel, serving as a Director of the Board of Directors (the “Board”) of Rocky Mountain Chocolate Factory, Inc. (the “Company”), notified the Board of his intention to resign effective November 6, 2024. Mr. Riegel’s resignation is not the result of any disagreement with the Company or the Board on any matter relating to the operations, policies or practices of the Company.
