Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On August 12, 2024, Gregg Saretsky, who previously served on the Board of Directors (the “Board”) of Sabre Corporation (“Sabre”), informed Sabre for the first time that he had provided assistance to a third party with respect to its investment in a customer of Sabre. Sabre had no knowledge of, and had not consented to, such assistance, and as a result, the Board asked for his resignation. That same day, Mr. Saretsky resigned from the Board, as well as from all Board committees on which he sits. The size of the Board will be reduced to nine directors as a result of Mr. Saretsky’s resignation.
