Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers;<br> Compensatory Arrangements of Certain Officers.

Departure of Director

On August 30, 2020, Mr. Dan Avida notified the Company of his intention to resign from the Board of Directors in order to focus on a new business. Mr. Avida served on the compensation committee and the nominating and corporate governance committee. Mr. Avida’s resignation was not a result of any disagreements with the Company on any matter relating to its operations, policies or practices. Effective upon Mr. Avida’s resignation as a director, the size of the Board is reduced from eight to seven directors.
