Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

In accordance with the Corporate Governance Guidelines of Sealed Air Corporation, Ms. Elizabeth M. Adefioye tendered her resignation from the Board of Directors (the “Board”) following a change in her principal business association. On August 10, 2023, the Board accepted her resignation, effective as of August 11, 2023.
