Item 5.02Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(e) On March 14, 2023, in connection with its ongoing review of its cost structure, Smith Micro Software, Inc. (the “Company”) implemented a 10% reduction in the base salaries of each of the members of its executive team, including without limitation the Company’s principal executive officer, principal financial officer and its named executive officers, and in the quarterly fees payable to the Company’s non-employee directors. These reductions were made immediately effective. Executive salaries and non-employee director compensation will be restored to the amounts in effect immediately prior to such reduction at such time as the Company achieves profitability, on a non-GAAP basis, including the effects of the restored salaries and director compensation.
