Item 5.07: Submission of Matters to a Vote of Security Holders.


The following matters were voted upon at the Company’s annual meeting of shareholders held on August 22, 2024:

1. The shareholders elected, by a plurality of the votes cast, four nominees to the Board of Directors to serve until the Annual Meeting<br>of Shareholders in 2026 and until their successors are duly elected and qualified.

2. The shareholders ratified by the affirmative vote of the majority of the votes cast on the proposal, the appointment of Marcum, LLP,<br>as the Company’s independent auditors for the fiscal year ending February 28, 2025.
