**(b)**On August 18, 2025, Starco Brands, Inc. (the “Company”), eliminated the position of Chief Marketing Officer and Mr. David Dreyer, the Chief Marketing Officer of the Company, departed effective immediately. The elimination of the position was a result of a continued strategic initiative to streamline the Company’s organizational structure. This decision reflects the Company’s ongoing plans to enhance operational efficiency and optimize resource allocation. No replacement will be appointed for this role, its responsibilities will be integrated across existing leadership teams.
