Item5.02 Departure of Directors or CertainOfficers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On May 12, 2023, Alexander Monje notified the Board of Directors (the “Board”) of Nubia Brand International Corp. (the “Company”) of his resignation as the Chairperson of the Board and as a member of the Board, effective as of May 12, 2023. Mr. Monje’s resignation did not result from any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.

Following Mr. Monje’s resignation, the Board appointed Jaymes Winters, the Company’s Chief Executive Officer and a member of the Board since June 14, 2021, to serve as Chairperson of the Board.
