Item 5.02    Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On June 12, 2020, State Street Corporation expanded the role of David C. Phelan, Executive Vice President and General Counsel, to also include the Chief Legal Officer responsibilities of Jeffrey N. Carp, who is retiring as previously announced.  The effective date of this transition is July 1, 2020, and Mr. Carp will retire on or about July 31, 2020.
