Item 8.01 Other Events.

On April 28, 2020, the Seagate Technology plc (the “Company”) Board of Directors approved Stephen J. Luczo’s request to step down as Board Chair effective July 3, 2020, which is the end of the Company’s current fiscal year. Mr. Luczo will continue to serve as a director.

The Company Board of Directors appointed Michael R. Cannon, currently Lead Independent Director, to succeed Mr. Luczo as Board Chair effective July 4, 2020, which is the start of the Company’s fiscal year 2021.
