Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangementsof Certain Officers.

On August 30, 2021, Michael E. McNamara, Executive Vice President and Chief Information Officer (CIO), informed Target of his intention to retire as Target’s CIO in 2022. Mr. McNamara intends to remain in his current role until a successor is appointed, and for a transition period following such appointment.
