Item 8.01 Other Events
On March 1, 2021, Tronox Incorporated, a Delaware corporation (the “Issuer”), a wholly owned indirect subsidiary of Tronox Holdings plc (the “Company”), commenced an offering of $625 million aggregate principal amount of senior notes due 2029 (the “Notes”). A copy of the related press release is being filed as Exhibit 99.1 hereto and is incorporated herein by reference.
The Company expects to use the proceeds from the issuance of the Notes, along with cash on hand, to finance the redemption of the Issuer’s outstanding 6.500% senior notes due 2026.
The Notes will be offered only to qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”), and outside the United States to non-U.S. persons pursuant to Regulation S under the Securities Act. The Notes will not be registered under the Securities Act or any state securities laws and may not be offered or sold in the United States absent registration or an applicable exemption from the registration requirements of the Securities Act and applicable state laws.
This Current Report on Form 8-K is neither an offer to sell nor a solicitation of an offer to buy the Notes, nor shall there be any offer, solicitation or sale of the Notes in any jurisdiction in which such offer, solicitation or sale would be unlawful prior to registration or qualification under the securities laws of any such jurisdiction.

Tronox Announces Proposed Offering of Senior Notes
STAMFORD, Conn., March 1, 2021 -- Tronox Holdings plc (NYSE: TROX) (“Tronox” or the “Company”) today announced that Tronox Incorporated (the “Issuer”), a wholly owned subsidiary of the Company, intends to offer, subject to market and other considerations, $625 million aggregate principal amount of senior notes due 2029 (the “Notes”). The Company expects to use the net proceeds from the offering, along with cash on hand, to finance the redemption of the Issuer’s outstanding 6.500% senior notes due 2026.
The Notes are being offered only to persons reasonably believed to be qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”), and outside the United States to non-U.S. persons pursuant to Regulation S under the Securities Act.
The Notes will not be registered under the Securities Act, or any state securities laws, and unless so registered, may not be offered or sold in the United States except pursuant to an exemption from the registration requirements of the Securities Act and applicable state securities laws.
