Item 2.02.    Results of Operations and Financial Condition.

On October 22, 2025, United Rentals, Inc. (the “Company”) issued a press release reporting its results of operations for the quarter ended September 30, 2025. A copy of the press release is being furnished with this report as Exhibit 99.1.

Item 7.01.    Regulation FD Disclosure.

Certain information concerning our business, financial results and 2025 outlook that the Company expects to use at certain investor meetings and presentations can be accessed currently on the Company’s website, www.unitedrentals.com. Such information will be maintained on the Company’s website for at least the period of its use at such meetings and presentations or until superseded by more current information.

The presentation includes certain financial measures - free cash flow, earnings before interest, taxes, depreciation and amortization (“EBITDA”), adjusted EBITDA and adjusted earnings per share (“adjusted EPS”) - that are “non-GAAP financial measures” as defined under the rules of the Securities and Exchange Commission. Free cash flow represents net cash provided by operating activities less payments for purchases of, and plus proceeds from, equipment and intangible assets, and plus excess tax benefits from share-based payment arrangements. The equipment and intangible asset items are included in cash flows from investing activities. EBITDA represents the sum of net income, provision (benefit) for income taxes, interest expense, net, interest expense-subordinated convertible debentures, net, depreciation of rental equipment and non-rental depreciation and amortization. Adjusted EBITDA represents EBITDA plus stock compensation expense, net, and the impact of the defined special items. Adjusted EPS represents diluted EPS plus the impact of the defined special items.

The presentation includes reconciliations of these non-GAAP financial measures to their nearest generally accepted accounting principles financial measures. The Company believes that: (i) free cash flow provides useful additional information concerning cash flow available to meet future debt service obligations and working capital requirements; (ii) EBITDA and adjusted EBITDA provide useful information about operating performance and period-over-period growth, and help investors gain an understanding of the factors and trends affecting our ongoing cash earnings, from which capital investments are made and debt is serviced; and (iii) adjusted EPS provides useful information concerning future profitability. United Rentals Announces Strong Third Quarter 2025 Results and Raises Full-Year Guidance for Revenue and Capital Spending Supported by Strong Customer Demand

STAMFORD, Conn. – October 22, 2025 – United Rentals, Inc. (NYSE: URI) today announced financial results for the third quarter of 2025, and raised its 2025 full-year guidance for total revenue and capital spending driven by strong customer demand.

Third Quarter 2025 Highlights

•Total revenue of $4.229 billion, including rental revenue1 of $3.665 billion.

•Net income of $701 million, at a margin2 of 16.6%. GAAP diluted earnings per share of $10.91, and adjusted EPS3 of $11.70.

•Adjusted EBITDA3 of $1.946 billion, at a margin2 of 46.0%.

•Year-over-year, fleet productivity4 increased 2.0%.

•Year-to-date net cash provided by operating activities of $3.934 billion; free cash flow3 of $1.192 billion, including gross payments for purchases of rental equipment of $3.576 billion.

•Year-to-date gross rental capital expenditures of $3.760 billion.

•Returned $1.633 billion to shareholders year-to-date, comprised of $1.283 billion via share repurchases and $350 million via dividends paid.

•Net leverage ratio5 of 1.86x, with total liquidity5 of $2.452 billion, at September 30, 2025.

* The reduction in the company’s free cash flow outlook reflects the additional rental capital expenditures the company plans to make in 2025 to support customer demand. Notably, the outlook for net cash provided by operating activities is unchanged at mid-point, which reflects the company's expectations for underlying cash generation.

Summary of Third Quarter 2025 Financial Results

•Rental revenue increased 5.8% year-over-year to a third quarter record of $3.665 billion. Fleet productivity increased 2.0% year-over-year, while average original equipment at cost (“OEC”) increased 4.2%.

•Used equipment sales in the quarter increased 3.7% year-over-year. Used equipment sales generated $333 million of proceeds at a GAAP gross margin of 44.1% and an adjusted gross margin8 of 45.9%, compared to a GAAP gross margin of 45.2% and an adjusted gross margin of 49.5% for the same period last year. The year-over-year decline in the adjusted gross margin primarily reflected the normalization of the used equipment market, including pricing.

•Net income for the quarter decreased 1.0% year-over-year to $701 million, while net income margin decreased 110 basis points to 16.6%. Consistent with the results for the first half of the year, the decline in net income margin was primarily driven by 1) decreased rental gross margin, which reflected the impact of inflation and normal cost variability, particularly in delivery costs, and higher depreciation expense in the specialty rentals segment as discussed below, partially offset by decreases as a percentage of revenue in 2) the provision for income taxes and 3) interest expense.

•Adjusted EBITDA for the quarter increased 2.2% year-over-year to a third quarter record of $1.946 billion, while adjusted EBITDA margin decreased 170 basis points to 46.0%. Consistent with the results for the first half of the year, the decline in adjusted EBITDA margin primarily reflected decreases in 1) rental gross margin (excluding depreciation and stock compensation expense) attributable, in part, to the impact of inflation and normal cost variability, and 2) adjusted gross margin from used equipment sales, both of which are discussed above.

•General rentals segment rental revenue increased 3.1% year-over-year to a third quarter record of $2.400 billion, while rental gross margin decreased by 90 basis points year-over-year to 36.7%, primarily due to inflation and normal cost variability, particularly in delivery costs.

8.Used equipment sales adjusted gross margin is a non-GAAP financial measure that excludes the impact ($6 million and $14 million for the three months ended September 30, 2025 and 2024, respectively) of the fair value mark-up of fleet acquired in certain major acquisitions that was subsequently sold. This adjustment is explained further in the tables below, and represents the only difference between the GAAP gross margin and the adjusted gross margin.

•Specialty rentals segment rental revenue increased 11.4% year-over-year to a third quarter record of $1.265 billion. Rental gross margin decreased by 490 basis points year-over-year to 45.1%, primarily due to higher depreciation expense due, in part, to growth in the company's matting business, and inflation and normal cost variability, particularly in delivery costs. Consistent with the results for the first half of the year, the increase in third quarter delivery costs was also driven by the repositioning of fleet to efficiently support strong customer demand.

•Cash flow from operating activities increased 12.5% year-over-year to $3.934 billion for the first nine months of 2025, and free cash flow, including merger and restructuring related payments, decreased 1.6%, from $1.211 billion to $1.192 billion.

•Capital management. The company's net leverage ratio was 1.86x at September 30, 2025, as compared to 1.81x at December 31, 2024. During the nine months ended September 30, 2025, the company completed its prior $1.5 billion9 share repurchase program, and commenced a new $1.5 billion9 share repurchase program which was increased to $2.0 billion9 following the enactment of new federal tax legislation in July 2025. During the nine months ended September 30, 2025, the company repurchased $1.283 billion9 of common stock under both these programs, and paid dividends totaling $350 million. The company expects to complete $1.9 billion of repurchases in 2025, which will provide approximately $350 million of carry-over capacity for share repurchases in early 2026. Additionally, the company's Board of Directors has declared a quarterly dividend of $1.79 per share, payable on November 26, 2025 to stockholders of record on November 12, 2025.

•Total liquidity was $2.452 billion as of September 30, 2025, including $512 million of cash and cash equivalents. During the third quarter, the company's ABL facility was amended, primarily to increase the facility size from $4.25 billion to $4.5 billion and extend the maturity date to 2030.

•Return on invested capital (ROIC)10 was 12.0% for the 12 months ended September 30, 2025.

9.A 1% excise tax is imposed on “net repurchases” (certain purchases minus certain issuances) of common stock. The repurchases noted above (as well as the total program sizes and planned 2025 repurchases) do not include the excise tax, which totaled $12 million year-to-date through September 30, 2025.

To mitigate the volatility related to fluctuations in the company’s tax rate from period to period, the U.S. federal corporate statutory tax rate of 21% was used to calculate after-tax operating income.

Free cash flow, earnings before interest, taxes, depreciation and amortization (EBITDA), adjusted EBITDA, adjusted earnings per share (adjusted EPS) and used equipment sales adjusted gross margin are non-GAAP financial measures as defined under the rules of the SEC. Free cash flow represents net cash provided by operating activities less payments for purchases of, and plus proceeds from, equipment and intangible assets. The equipment and intangible asset items are included in cash flows from investing activities. EBITDA represents the sum of net income, provision for income taxes, interest expense, net, depreciation of rental equipment and non-rental depreciation and amortization. Adjusted EBITDA represents EBITDA plus the sum of the restructuring charges, stock compensation expense, net, and the impact of the fair value mark-up of acquired fleet. Adjusted EPS represents EPS plus the sum of the restructuring charges, the impact on depreciation related to acquired fleet and property and equipment, the impact of the fair value mark-up of acquired fleet, merger related intangible asset amortization, asset impairment charge and debt related losses. Used equipment sales adjusted gross margin excludes the impact of the fair value mark-up of fleet acquired in certain major acquisitions that was subsequently sold (this adjustment is explained further in the adjusted EPS and EBITDA/adjusted EBITDA tables below). The company believes that: (i) free cash flow provides useful additional information concerning cash flow available to meet future debt service obligations and working capital requirements; (ii) EBITDA and adjusted EBITDA provide useful information about operating performance and period-over-period growth, and help investors gain an understanding of the factors and trends affecting our ongoing cash earnings, from which capital investments are made and debt is serviced; (iii) adjusted EPS provides useful information concerning future profitability; and (iv) used equipment sales adjusted gross margin provides information that is useful for evaluating the profitability of used equipment sales without regard to potential distortions. Fleet productivity is a comprehensive metric that provides greater insight into the decisions made by our managers in support of growth and returns. Specifically, we seek to optimize the interplay of rental rates, time utilization and mix in driving rental revenue. Fleet productivity aggregates, in one metric, the impact of changes in rates, utilization and mix on owned equipment rental revenue.

We believe that this metric is useful in assessing the effectiveness of our decisions on rates, time utilization and mix, particularly as they support the creation of shareholder value.
