Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On March 6, 2025, Martin Gafinowitz notified the Board of Directors (the “Board”) of Vontier Corporation (the “Company”) that he has elected not to stand for re-election as a director at the Company’s 2025 Annual Meeting of Shareholders (the “Annual Meeting”) to be held on May 27, 2025, and will retire from the Board effective on the date of the Annual Meeting. Mr. Gafinowitz’s decision was not the result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.

On March 6, 2025, Andrew D. Miller notified the Board that he has elected not to stand for re-election as a director at the Annual Meeting to be held on May 27, 2025, and will retire from the Board effective on the date of the Annual Meeting. Mr. Miller’s decision was not the result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.

We do not expect to increase the size of the Board at this time.
