Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Wayfair Inc. (the “Company”) is filing this amendment to its Current Report on Form 8-K filed on May 5, 2022, which reported, among other things, the promotion of Kate Gulliver to the position of Chief Financial Officer and Chief Administrative Officer, effective November 1, 2022. On February 1, 2023, the Compensation Committee of the Board of Directors of the Company approved the compensation for Ms. Gulliver in her new role.

In recognition of her promotion, Ms. Gulliver was granted multiple restricted stock unit (“RSU”) awards totaling 24,669 shares of Class A common stock that vest over a period of five (5) years, subject to continued employment on each applicable vesting date. The RSUs are subject to the terms and conditions of the Company’s 2014 Incentive Award Plan, as amended, and its related grant agreements.
