Item 8.01 Other Events.

On January 16, 2026, the Board of Directors of Willis Lease Finance Corporation (the “Company”) declared a quarterly dividend of $0.40 per share on the Company’s outstanding common stock. The dividend is expected to be paid on February 20, 2026 to stockholders of record at the close of business on February 11, 2026. A copy of the news release announcing the quarterly dividend is attached hereto as Exhibit 99.1 and is incorporated herein by reference.

Willis Lease Finance Corporation Declares Next Quarterly Dividend for Shareholders

COCONUT CREEK, Fla. January 20, 2026 – Willis Lease Finance Corporation (NASDAQ: WLFC) (“WLFC” or the “Company”), the leading lessor of commercial aircraft engines and a global provider of aviation services, today announced a quarterly dividend of $0.40 per share on the Company’s outstanding common stock. The dividend is expected to be paid on February 20, 2026 to stockholders of record at the close of business on February 11, 2026.

“This dividend reflects the strength of our business and our continued commitment to delivering long-term value to our shareholders,” said Austin C. Willis, Chief Executive Officer of WLFC.
