EXPLANATORY NOTE
Exxon Mobil Corporation (the “Corporation”) is filing this Amendment No. 1 on Form 8-K/A (the “Amendment”) to amend its Form 8-K, originally filed with the U.S. Securities and Exchange Commission on December 2, 2022 (the “Original 8-K”), for the sole purpose of supplementing Item 5.02(d) of the Original 8-K to include additional disclosure regarding Board committee assignments. No other revisions have been made to the Original 8-K, and other than as mentioned in the foregoing sentence, this Amendment does not amend, update, or change any other items or disclosures contained in the Original 8-K.
Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers
(d) As previously reported in the Original 8-K, on November 30, 2022, the Board elected John D. Harris II and Lawrence W. “Larry” Kellner as new non-employee directors of the Corporation, effective on January 1, 2023. On January 24, 2023, the Board appointed Mr. Harris to serve as a member of the Audit Committee and the Compensation Committee and Mr. Kellner to serve as a member of the Nominating and Governance Committee and the Environment, Safety and Public Policy Committee.
