Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On December 30, 2022, Berkshire Hills Bancorp, Inc. (the “Company”), the holding company for Berkshire Bank (the “Bank”), announced, in conjunction with George Bacigalupo, Senior Executive Vice President, Head of Commercial Banking, that he will transition from his current position to Director–Commercial/Enterprise Sales Management reporting to Sean Gray, Bank President, effective January 1, 2023 through December 2023, at which time he will retire from his position at the Company and the Bank. As Director–Commercial/Enterprise Sales Management, Mr. Bacigalupo will focus on deepening relationships between the Bank and its commercial clients as well as assisting a new Head of Commercial Banking. The Company and the Bank are currently conducting a national search for a Head of Commercial Banking, which includes both external and internal candidates.
