Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On April 22, 2024, Kevin Cullinan notified Claros Mortgage Trust, Inc. (the “Company”) of his decision to resign as Executive Vice President—Originations of the Company, effective as of May 8, 2024. Mr. Cullinan’s resignation is not due to any dispute or disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
