Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(c) On March 7, 2025, The Progressive Corporation (the “Company”) appointed Carl G. Joyce to succeed Mariann Wojtkun Marshall as Vice President and Chief Accounting Officer. Mr. Joyce, 43, has been with the Company for 13 years, and has been Director of Financial Reporting – GAAP for more than 5 years. Mr. Joyce will receive salary, Gainshare target, and equity awards, and will participate in other benefit and compensation plans, at levels consistent with his seniority and scope of responsibility.
