Item 8.01  Other Events

On January 28, 2021, Provident Financial Holdings, Inc. (the “Corporation”) announced that the Corporation’s Board of Directors declared a quarterly cash dividend of $0.14 per share.  Shareholders of the Corporation’s common stock at the close of business on February 18, 2021 will be entitled to receive the cash dividend.  The cash dividend will be payable on March 11, 2021.

The news release announcing the quarterly cash dividend is attached as Exhibit 99.1 and incorporated by reference herein.

ANNOUNCES QUARTERLY CASH DIVIDEND

Riverside, Calif. – January 28, 2021 – Provident Financial Holdings, Inc. (“Company”), NASDAQ GS: PROV, the holding company for Provident Savings Bank, F.S.B., today announced that the Company’s Board of Directors declared a quarterly cash dividend of $0.14 per share.  Shareholders of the Company’s common stock at the close of business on February 18, 2021 will be entitled to receive the cash dividend.  The cash dividend will be payable on March 11, 2021.
