Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On November 16, 2023, Steven R. Kalmanson notified the Board of Directors (the “Board”) of Rockwell Automation, Inc. (the “Company”) that he plans to retire and not stand for re-election as director at the Annual Meeting of Shareowners to be held on February 6, 2024 (the “Annual Meeting”). Mr. Kalmanson will continue to serve on the Board for the remainder of his current term, which expires immediately before the Annual Meeting.

In connection with Mr. Kalmanson’s planned retirement, the Board took action to reduce the number of directors of the Company from eleven to ten in accordance with the Company’s Restated Certificate of Incorporation and By-laws, effective immediately before the Annual Meeting.
