Item 8.01 Other Events.

On March 6, 2026, Interactive Strength Inc. (the “Company”) increased the maximum aggregate offering price of the shares (the “Shares”) of the Company’s common stock, par value $0.0001 per share (the “Common Stock”) issuable under the At The Market Offering Agreement (the “Sales Agreement”) with H.C. Wainwright & Co. LLC, dated May 17, 2024 to $6,057,000 and filed a prospectus supplement dated March 6, 2026 (the “Prospectus Supplement”) under the Sales Agreement for an aggregate of $6,057,000. Prior to the date hereof, the Company sold shares of common stock having an aggregate sales price of approximately $1,673,180 pursuant to General Instruction I.B.6 of Form S-3 under the Sales Agreement in the last 12 calendar months and approximately $12,130,000 under the Sales Agreement in the aggregate. A copy of the legal opinion as to the legality of the $6,057,000 of shares of Common Stock issuable under the Sales Agreement and covered by the Prospectus Supplement is filed as Exhibit 5.1 attached hereto.

The Shares will be issued pursuant to our shelf registration statement on Form S-3 (File No. 333-288405) filed by the Company with the SEC on June 27, 2025 and declared effective by the SEC on September 22, 2025 and the prospectus supplement filed on January 23, 2026 as amended and supplemented by the Prospectus Supplement.

Based upon and subject to the foregoing, we are of the opinion that the Shares have been duly authorized and, when issued and sold by the Company and delivered by the Company against receipt of the purchase price therefor, in the manner contemplated by the Prior Prospectus and the Prospectus Supplement and the Sales Agreement, will be validly issued, fully paid and non-assessable. The opinions expressed herein are limited to the laws of the General Corporation Law of the State of Delaware and the laws of the State of New York, as currently in effect, and no opinion is expressed with respect to any other laws or any effect that such other laws may have on the opinions expressed herein.
