Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On December 15, 2022, Cory D. Stewart, Senior Vice President and Principal Accounting Officer of Washington Federal Bank ("WaFd Bank"), (the "Bank"), the wholly owned subsidiary of Washington Federal, Inc. (the "Company") notified the Bank of his intended resignation, effective January 2, 2023. Mr. Stewart's separation from WaFd Bank is not the result of any disagreement regarding any of the Company's or the Bank's accounting principles or practices, financial statement disclosures or internal controls.
