Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

On February 20, 2024, Dr. Gary Jacob resigned from the Board of Directors of Hepion Pharmaceuticals, Inc. (the “Company”) for personal reasons. Dr. Jacob was Chairman of the Company and the Board of Directors appointed John Brancaccio as Chairman.
