Included is a PSU award granted to Dr. Holmlin that, in order to vest, requires achievement of certain performance-based vesting conditions during a four-year performance period. The grant date fair value of this PSU award was determined in accordance with FASB ASC 718 based upon the then-probable outcome of the performance-based vesting conditions underlying such award. The maximum potential value of this PSU award, assuming the highest level of performance achievement, calculated in accordance with FASB ASC 718, was $1,374,600. These amounts do not reflect whether the NEO has actually realized or will realize a financial benefit from the awards upon the vesting of the granted stock awards, or the sale of the shares underlying such stock awards.
