Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On March 17, 2025, James S. Carter and Daniel L. Sheets each notified the Board of Directors (the “Board”) of Calumet, Inc. (the “Company”) of their respective decisions not to stand for re-election to the Board and to retire at the end of their terms, which expire at the Company’s 2025 Annual Meeting of Stockholders. Their decisions not to stand for re-election and to retire from the Board are not the result of any disagreement with the operations, policies or practices of the Company.
