Item5.07 Submission of Matters to a Vote of Security Holders

On December 5, 2025, Co-Diagnostics, Inc. (the “Company”), held a special meeting of shareholders at which the following matters were voted on:

ProposalNo. 1: The proposal to approve an amendment to the Company’s Articles of Incorporation to effect a reverse stock split of the Company’s issued and outstanding shares of common stock, at a ratio of not less than 1-for-2 and not greater than 1-for-30, such final ratio to be determined by our Board at any time within twelve months, without further approval or authorization of our shareholders, was approved.
