MATERIAL FACT

COSAN S.A. (B3: CSAN3; NYSE: CSAN) (“Cosan” or “Company”), in continuation to the Material Fact of July 10th, 2024 and October 1st, 2024, informs its shareholders and the market in general that, due to adverse market conditions, it has decided not to proceed, at this time, with the initial public offering of shares of its subsidiary Moove Lubricants Holdings before the U.S. Securities and Exchange Commission.

The Company will keep the market updated on developments related to this matter.
