Item 2.02 Results of Operations and Financial Condition

As a result of the settlement in principle described in Item 8.01 below, Entergy New Orleans, LLC’s (“Entergy New Orleans”) first quarter 2024 results will include a regulatory charge, and an increase in the associated regulatory liability, in the amount of $78 million to reflect an increase in customer sharing of income tax benefits from the 2016–2018 IRS audit resolution. In fourth quarter 2023, Entergy New Orleans recorded a provision to reflect customer sharing of $60 million of income tax benefits. This will increase the total amount to be shared to $138 million. This item will be considered an “adjustment” to Entergy’s net income under generally accepted accounting principles (“GAAP”), and therefore will not affect Entergy’s adjusted earnings per share (non-GAAP).

Item 8.01. Other Events

On April 18, 2024, Entergy New Orleans and the Council of the City of New Orleans entered into a settlement in principle whereby Entergy New Orleans commits to increase the customer sharing of income tax benefits from the 2016–2018 IRS audit resolution from $60 million to $138 million (a $78 million increase). The settlement in principle also provides for the retail ratemaking treatment of the total customer credit.
