Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
Effective September 10, 2026, the Board of Directors (the “Board”) of Flexsteel Industries, Inc. (the “Company”) appointed Anand S. Kangala to the Board. Mr. Kangala will serve as a Class I director, which class will stand for re-election at the 2027 annual meeting of the shareholders. Mr. Kangala was appointed as a member of the Board’s Audit and Ethics Committee.
Mr. Kangala will participate in the Company’s non-executive director compensation program. Pursuant to this program, Mr. Kangala will receive: (i) an annual retainer of $75,000 for service as a Board member, and (ii) a quarterly stock grant with a value of $26,250, rounded to the nearest share, with no additional vesting requirements. Mr. Kangala will also receive an annual retainer of $7,500 for service as a member of the Audit and Ethics Committee.
Since the beginning of the Company’s last fiscal year through the present, there have been no transactions with the Company, and there are currently no proposed transactions with the Company, in which the amount involved exceeds $120,000 and in which Mr. Kangala had or will have a direct or indirect material interest within the meaning of Item 404(a) of Regulation S-K. No arrangement or understanding exists between Mr. Kangala and any other person pursuant to which he was appointed as a director of the Company.

On September 11, 2026, the Company issued a press release announcing the appointment of Mr. Kangala to the Board of the Company. A copy of the press release is furnished as Exhibit 99.1 and is incorporated herein by reference.

DUBUQUE, Iowa – September 11, 2026 – Flexsteel Industries, Inc. (NASDAQ:FLXS) (“Flexsteel” or the “Company”), one of the largest manufacturers, importers, and marketers of residential furniture products in the United States, today announced the appointment of Dr. Anand Kangala as an independent director of the Company effective September 10, 2026. Dr. Kangala will also serve on the Board’s Audit & Ethics Committee.

Professional Background of Anand Kangala
Dr. Anand Kangala is Chief Digital and Technology Officer of Trex Company, Inc., the world’s largest manufacturer of high-performance, eco-friendly wood-alternative decking and railing products. Since joining Trex in 2024, he has led the company’s enterprise transformation, advancing its digital, technology, and AI capabilities to improve customer and consumer experiences and support growth, innovation, and operational excellence.
At Trex, Dr. Kangala has helped shape the company’s strategy for digitally connecting consumers, trade professionals, and channel partners across the end-to-end journey, from inspiration and design through quoting, purchasing, and fulfillment. He leads the advancement of digital, data, AI, and enterprise capabilities supporting growth, innovation, productivity, and operational excellence, including AI-enabled consumer experiences, intelligent sales and decision support, and modernization of the company’s core technology platforms
Prior to Trex, Dr. Kangala held senior digital transformation and technology leadership roles at The Home Depot, Edward Jones, Carter’s, Cato Corporation and Lowe’s Companies. At The Home Depot, he helped define and lead key elements of the company’s enterprise transformation strategy, advancing digital, technology, data, and omnichannel capabilities at significant scale. His experience across manufacturing, retail and financial services provides Flexsteel’s Board with added perspective on growth strategy, consumer engagement, enterprise modernization, technology investment discipline and governance of emerging technology risks.
