Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers;<br> Compensatory Arrangements of Certain Officers.

On April 1, 2024, Nishu Patel, who had been serving as Vice President, Corporate Controller of Freshpet, Inc. (the “Company”) since joining the Company in June 2023, was appointed the Company’s Chief Accounting Officer. Prior to joining the Company, Ms. Patel served in various roles at Ernst & Young LLP, most recently as Senior Manager.

There are no family relationships between Ms. Patel and any director or executive officer of the Company, and she is not a party to any transaction requiring disclosure under Item 404(a) of Regulation S-K.
