EXPLANATORY NOTE
This Current Report on Form 8-K/A amends the Current Report on Form 8-K filed by FTAI Aviation Ltd. (the “Company”) with the Securities and Exchange Commission on May 30, 2025 (the “Original 8-K”) for the purpose of disclosing the Company’s decision on the frequency of future advisory votes on named executive officer compensation.

As previously reported in the Original 8-K, the Company held its 2025 Annual General Meeting (the “Annual Meeting”) on May 29, 2025. Based on the board of directors’ recommendation in the Company’s definitive proxy statement for the Annual Meeting and the final non-binding, advisory vote results from the Annual Meeting disclosed in the Original 8-K, the Company has determined to hold an advisory vote on named executive officer compensation annually.
