Item 8.01 Other Events.

On October 14, 2025, Leslie’s, Inc. (the “Company”) received a letter from the Listing Qualifications Department (the “Staff”) of The Nasdaq Stock Market LLC (“Nasdaq”) notifying the Company that it has regained compliance with the minimum bid price requirement under Nasdaq Listing Rule 5550(a)(2) (the “Bid Price Rule”) by maintaining a minimum closing bid price of the Company’s common stock of at least $1.00 per share for the ten consecutive business days from September 29, 2025 to October 13, 2025 and that the matter is now closed.

As previously reported, on April 24, 2025, the Company received notification from the Staff indicating that the Company’s common stock was subject to potential delisting from The Nasdaq Global Select Market because, for a period of 30 consecutive business days, the bid price of the Company’s common stock had closed below the minimum $1.00 per share requirement for continued listing under the Bid Price Rule and that the Company had a period of 180 calendar days from the date of such notification, or until October 21, 2025, to regain compliance.
