Item 5.07. Submission of Matters to a Vote of Security Holders
Moleculin Biotech Inc., (the “Company”) convened its Special Meeting of Stockholders (the “Special Meeting”) at the Company’s offices located at 5300 Memorial Drive, Suite 950, Houston, Texas 77007, on April 9. 2025, which was initially adjourned to April 25, 2025 and then adjourned to May 9, 2025 at 10:00 a.m. Central Time. After counting the number of shares present in person and by proxy, it was determined that a quorum for the transaction of business at the Special Meeting was not present. Approximately 70% of the voted shares were in favor of the motion. In the absence of a quorum, and since the Company is not able to further adjourn this meeting, the Company cancelled the Special Meeting at this time.
